Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "User") and Synapse Recruiting Agency Inc. ("Synapse", "Synapse International", "we", "us", or "our"), governing your access to and use of:

• The Synapse International website at synapseint.com
• The Synapse Hire AI recruiting platform at synapsehire.com, including iOS and Android mobile applications
• The Synapse Recruiter Network at app.synapserecruiternetwork.com
• All recruitment agency services provided by Synapse International

By accessing or using any of these services (collectively, the "Service"), you agree to be bound by these Terms. If you do not agree to these Terms, you are not authorized to use the Service.

2. Description of Services

2.1 Recruitment Agency Services

Synapse International provides professional recruitment and staffing services, including permanent placement, staff augmentation, contract-to-hire, temporary staffing, and managed services / recruitment process outsourcing (RPO). These services are governed by individual client agreements executed separately.

2.2 Synapse Hire AI Platform

Synapse Hire is an AI-powered recruiting automation platform that enables users to source candidates, score them using our FitScore algorithm, generate personalized outreach, and manage recruiting pipelines. The platform is available via web at synapsehire.com and as mobile applications on iOS and Android.

2.3 Synapse Recruiter Network (SRN)

The Synapse Recruiter Network is a global collective of independent recruiters who access open job orders, AI tools, and community resources through the SRN platform. SRN members operate as independent contractors and are subject to the SRN Recruiter Agreement executed upon joining the network.

3. Account Registration and Eligibility

To use certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration.
• Maintain and update your information to keep it accurate and complete.
• Maintain the security and confidentiality of your login credentials.
• Accept responsibility for all activities that occur under your account.
• Notify us immediately of any unauthorized use of your account.

You must be at least 18 years old and have the legal authority to enter into these Terms. If you are using the Service on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms.

4. Subscriptions, Payments, and Pricing

4.1 Synapse Hire Plans

Synapse Hire offers subscription plans at various tiers (Solo, Core, Pro, Enterprise) with different feature sets and usage quotas. Plan details and pricing are available at synapsehire.com. Mobile subscriptions are available via the Apple App Store and Google Play Store.

4.2 Free Trials

We may offer free trial periods for the Synapse Hire platform. Trial terms, duration, and included features are specified at the time of signup. Unless you cancel before the trial ends, your subscription will automatically convert to a paid plan.

4.3 Billing and Renewal

Paid subscriptions are billed in advance on a monthly or annual basis depending on your selected plan. Subscriptions automatically renew at the end of each billing cycle unless cancelled. You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period.

4.4 Refunds

Subscription fees are non-refundable except where required by applicable law. Mobile app subscriptions are subject to the refund policies of Apple and Google respectively.

4.5 Agency Services Pricing

Pricing for recruitment agency services (permanent placement, staff augmentation, contract-to-hire, temporary staffing, managed services) is competitive and customized for each client organization. Agency fees are governed by separate client service agreements.

5. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws, regulations, or third-party rights.
• Send spam, unsolicited communications, or misleading outreach to candidates.
• Scrape, crawl, or harvest data from the Service for unauthorized purposes.
• Reverse engineer, decompile, or disassemble any part of the Service.
• Interfere with or disrupt the integrity or performance of the Service.
• Create false or misleading job postings or candidate profiles.
• Use the Service to discriminate against candidates based on protected characteristics.
• Share your account credentials with unauthorized third parties.
• Exceed the usage quotas of your subscription plan through automated means.
• Use AI-generated outreach in a manner that misrepresents the sender's identity.

We reserve the right to suspend or terminate your account for violations of these terms without prior notice.

6. AI-Generated Content

The Service uses artificial intelligence to generate candidate recommendations, FitScore rankings, outreach emails, and other content. You acknowledge that:

• AI-generated content is advisory and should be reviewed before use.
• You are responsible for reviewing, editing, and approving all outreach before it is sent to candidates.
• AI recommendations do not constitute legal, employment, or professional advice.
• FitScores are algorithmic assessments and should not be the sole basis for hiring decisions.
• We do not guarantee the accuracy, completeness, or suitability of AI-generated content.

7. Intellectual Property

The Service, including its design, features, content, software, algorithms (including FitScore and Emma AI), trademarks, and documentation, is owned by Synapse Recruiting Agency Inc. and protected by intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service in accordance with these Terms. This license does not include the right to sublicense, resell, or distribute any part of the Service.

You retain ownership of any data, content, or materials you upload to the Service (such as job descriptions, candidate notes, and outreach templates). By uploading content, you grant us a limited license to process it as necessary to provide the Service.

8. Synapse Recruiter Network Terms

If you join the Synapse Recruiter Network (SRN), the following additional terms apply:

• SRN members are independent contractors, not employees of Synapse.
• Commission rates (up to 30% per placement) are specified in the SRN Recruiter Agreement and may vary by role and client.
• Commission payments are made after the placed candidate has passed the applicable guarantee period.
• You agree to comply with all applicable employment laws, anti-discrimination regulations, and professional standards when representing Synapse to candidates and clients.
• Access to AI tools, job guides, and outreach templates through SRN is subject to our acceptable use policies.
• Synapse reserves the right to remove members from SRN at its discretion for violation of these terms or the SRN Recruiter Agreement.

9. SMS Services

You may opt in to receive SMS notifications from Synapse regarding job opportunities, account updates, or platform alerts. Message frequency varies. Message and data rates may apply. Text HELP for help. Text STOP to cancel.

Carriers are not liable for delayed or undelivered messages.

10. Third-Party Integrations

The Service may integrate with third-party platforms including Applicant Tracking Systems (e.g., Greenhouse, Lever, Bullhorn, Ashby), email providers, and other tools. Your use of third-party integrations is subject to the terms and privacy policies of those third parties. Synapse is not responsible for the availability, accuracy, or security of third-party services.

11. Limitation of Liability

To the maximum extent permitted by applicable law:

• The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied.
• We do not guarantee uninterrupted, error-free, or secure operation of the Service.
• We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.
• Our total liability for any claims arising under these Terms shall not exceed the amount you paid to Synapse in the 12 months preceding the claim.
• We do not guarantee the quality, suitability, or performance of any candidate sourced through the Service or placed through our agency services.

12. Indemnification

You agree to indemnify and hold harmless Synapse Recruiting Agency Inc., its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorney fees) arising from: (a) your use of the Service, (b) your violation of these Terms, (c) your violation of any third-party rights, or (d) any outreach or communications you send through the Service.

13. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. You may terminate your account at any time by contacting us or using the account deletion feature in the app.

Upon termination: (a) your right to use the Service ceases immediately, (b) we may delete your account data after a 30-day grace period, and (c) any outstanding payment obligations survive termination.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California, United States, without regard to conflict of law principles.

Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration in Los Angeles County, California, conducted by a single arbitrator under the rules of the American Arbitration Association. You waive any right to participate in a class action lawsuit or class-wide arbitration.

15. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. For significant changes, we will provide additional notice via email. Your continued use of the Service after modifications constitutes acceptance of the updated Terms.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy and any applicable service agreements (including client recruitment agreements and SRN Recruiter Agreements), constitute the entire agreement between you and Synapse regarding the Service and supersede all prior agreements and understandings.
